Terms of Use for “Step Up Nihongo”

Before using “Step Up Nihongo”, please read these Terms of Use carefully and click the “Agree” button below to confirm your agreement.

Article 1 Purpose of Terms of Use

These Terms of Use (hereinafter referred to as the “Terms”) set forth important provisions relating to use of the e-learning language study courses (hereinafter referred to as the “Service”) provided through the Internet by International Communication Institute, located at 4F Saito Bldg., 6-2 Kojimachi, Chiyoda-ku, Tokyo 102-0083, Japan (hereinafter referred to as the “Company”).

Article 2 Purpose of the Service

The Service is operated for the purpose of providing language learning services via the Internet to people throughout the world.

Article 3 Definitions

For the purpose of these Terms, the following terms shall have the meanings indicated:
(1) Use: To study the Japanese language by reviewing the language-study content provided by the Service through the Internet
(2) User: Individuals who use or have used the Service by browsing the website

Article 4 Management of the Service

The Service has been established, managed, and operated by the Company in accordance with the Specified Commercial Transactions Law of Japan.

Article 5 Intellectual Property Rights

All trademark rights, copyrights and other rights relating to content, text, images, data, information and other materials (hereinafter referred to as “Content”) shown on the Service’s website or accessible by users shall be protected as the property of the Company or its designated owners in accordance with the laws concerning intellectual property rights of Japan and other applicable laws. No user shall infringe or cause dilution of any of the Company’s intellectual property rights, and agrees not to infringe any trademark right, copyright or other intellectual property rights displayed on the website. Without obtaining the Company’s prior consent, no user shall duplicate any portion of the website and/or its contents, or adapt, transform, create a derivative work or otherwise make any secondary use thereof.

Article 6 Resale Rights

All rights relating to the offering and sale of access to the Service are held by the Company and certain organizations designated by it. Access to the Service, or any Content, may not be sold without the Company’s consent.

Article 7 Commencement of the Service

The Service shall become available for each user commencing from the time that the Company has received the required payment and the user has begun to use the Service.

Article 8 Amendment of the Terms of Use

1. The Company may amend these Terms from time to time.
2. Any such amendment shall become effective at the time that it is posted on the website.

Article 9 Modification of Content

The Company may modify any content available through the Service without prior notice to users.

Article 10 Suspension of Use

1. The Service may be suspended without prior notice to users upon occurrence of any of the following events:
(1) Trouble and/or failure of any server, network, software, or other system or device
(2) Maintenance of any equipment or other system or device
(3) Impossibility of operating the Service due to fire, disaster, loss of power or other event
(4) Impossibility of providing the Service due to war, commotion, riot, disorder, labor disturbance, order by any government or court, or other event
(5) With respect to any particular User, a breach of the Terms by such User
(6) Any other event that may be determined necessary by the Company in the future
2. The Company shall not be liable to any user or third party for any damage incurred by them as a result of any delay or interruption in providing the Service as a result of any occurrence listed in the preceding section, or any other cause beyond its reasonable control.
3. In the event that the Service is suspended as a result of any of the preceding causes (1), (2), (3), (4) or (6) for a period greater than twenty four consecutive hours, the Company will, if reasonably possible, provide access to the Service to Users for an additional period approximately equivalent to such period of suspension.

Article 11 Disclaimer of Liability

The Company does not, in providing the Service, give any express or implied assurance to any user of the security of the Service and/or that the Service is free of computer viruses or other harmful processes. The Company shall not be liable for any direct, indirect, consequential, special, incidental or punitive damages and/or any loss arising out of use of the Service, whether or not any cause of action for such damages is based on contract, tort, negligence, strict liability or other theory, and whether or not the Company had previously been informed of the possibility of such damage and/or loss.

Article 12 Personal Information

The Company shall keep in strict confidence each User’s personal information obtained in the course of providing the Service, in accordance with the Personal Information Protection Law, recognizing that it is an important duty for the Company to maintain the confidentiality of such information and avoid improper modification thereof.

Article 13 Communications with Users

The Company may from time to time send to Users e-mails or other communications on topics that the Company believes will enhance Users’ language studies and cultural understanding. These e-mails or other communications may include information regarding products or services offered by the Company or third parties.

Article 14 Responsibilities of Users

1. Users must be 18 years of age or older. It is the responsibility of any person younger than 18 years old to refrain from using the Service if such use would constitute a breach of any laws or regulations of his/her country or jurisdiction.
2. The Service provides the content to support the language studies of individual users. Each User is responsible for his/her own learning progress.
3. Any login ID and password provided to a user to access the Service shall be used solely by such User, and shall not be provided to any third party.
4. Users agree to comply with laws and regulations of Japan, where the Service is provided, regardless of their country of residence.

Article 15 Jurisdiction

In the event of any lawsuit arising out of or in connection with the Service, each User submits to the exclusive jurisdiction of the Tokyo District Court of Japan.

Article 16 Detailed Rules

Matters not stipulated in these Terms of Service and necessary for for use of the Service shall be separately determined by the Company.

Supplementary Provision:

These Terms shall take effect from January 1, 2006.
